Professional services terms

1. Introduction

By accepting, using, participating in, or otherwise engaging with (collectively referred herein as "use") any of Skill Dynamics product integrations, consulting, or other professional services offerings (collectively, the "Services", and more specifically defined below), Customer understands, acknowledges, and agrees to these Professional Services Terms.

 

2. Services

The scope and features of the Services may be determined as set forth on a Sales Order or statement of work ("SOW") executed by the Parties. A summary of Skill Dynamics's Services, their associated scope, and features, is as follows:

  • Customer onboarding/delivery
  • Customer onboarding

Set Up:

Readiness Checklist activities will be executed to enable the project to commence and the Customer to have the pre-requisites to start supply of information as detailed by Skill Dynamics.

  • A Kick-off session will be held which will have all relevant attendees from the Customer project team as well as the Skill Dynamics attendees which can include, but is not limited to the Project Manager, the Salesperson, the Customer Success Manager, the Onboarding Specialist.
  • A project action plan will be created and shared with the customer for awareness of key dates for onboarding deliverables and will be shared in terms of ownership with the Customer Project Manager.
  • There will be a Skill Dynamics Technical Team assigned to support the Onboarding Team and they will be consulted as necessary throughout the onboarding project.
  • There will be regular weekly check points with relevant project members to ensure that the project tasks and timelines are being met to ensure time to value and return on investment are being realised by both Parties.
  • The implementation of purchased licensed package plus any additional add-on services as outlined in the relevant order form.
  • Unless otherwise outlined in an executed SOW between the Parties, Customer must engage with Skill Dynamics to commence Onboarding Services within thirty (30) days of the start date listed on the Sales Order and such work shall be completed within ninety (90) days thereafter, unless the project dictates otherwise.

 

Consultancy services

Additional Services:

The Services provided by Skill Dynamics as part of the agreed SOW will occasionally need to be supplemented by additional Consultancy Services as requested by the Customer. Skill Dynamics offers a range of additional Consultancy Services which are tailored for the Customer. These Services are undertaken by various skilled individuals such as: Consultant, Project Manager, Program Manager/Director. Customers can request the additional services of an SME to help them work through the project stages. Occasionally we may be asked to arrange for a Product Content SME to assist with the customer's onboarding plans and again this can be arranged for a pre-arranged charge. Once requests are received, we will define the work to be delivered and provide a quote that lays out what is in scope and will be detailed in the Statement of Work (SOW). We will then send a Supplementary SOW or 'Change Request' for customers to complete which must be signed off by both parties prior to work commencing. When these resources are enlisted, they will work closely with the Customer to deliver a tailored service aligned to the business & technology objectives, department initiatives, and/or job functions/roles. The engagement lasts for the number of days in effort expended and agreed upon. There is a table appended below which clearly lays out the type of resource available by skillset and the associated charges for their Services. (Please refer to the table below for current charges)

Current charges

  • Configuration and integration: Consultant –  $600
  • Project management: Project Manager – $1000
  • Technical report writing: Consultant – $1000
  • SME or technical product/content: Program Manager – $1500
  • Project director: Program Manager – $1500

Service Descriptions
LMS reporting integration:

This Service is a single configuration between the Customer's LMS system and Skill Dynamics LMS. System Integrations includes, but is not limited to, an LMS, or HRIS application. This integration Service includes a flat file extract and Data Feeds that are supported by the Customer's system.

The LMS Reporting Integration Service includes integration for one (1) System. Customers must engage with Skill Dynamics to commence this Service within sixty (60) days of purchase and such work shall be completed within ninety (90) days of the agreed upon project kick-off date. Skill Dynamics will offer Customer support for Customer's configured integration for the Initial Term of the underlying subscription plan. In the event the Customer desires; a) changes to the configured integration after the Initial Term, or b) configuration(s) of additional Data Feed integrations, Customers must purchase additional Consultancy Services.

API consulting This Service provides an expert Skill Dynamics resource to consult with Customer regarding integration requirements to the Skill Dynamics Platform. Such resource will provide consulting on API best practices and how to utilize the data from Skill Dynamics's API feed.

This Service does not include writing or troubleshooting code for Customers and Customer agrees that it is solely responsible for maintaining any code created during the use of this Service. Customer must engage with Skill Dynamics to commence this Service within sixty (60) days of purchase and such work shall be completed within ninety (90) days of the agreed upon project kick-off date.

The API Consulting Service is a flat fee that includes up to twenty (20) hours of support from Skill Dynamics's expert resource during normal business hours. In the event the Customer desires additional API consulting, Customer must purchase additional Consultancy Services as described in the 'Additional Services' section. This Service must be utilized within one (1) year of purchase.

Single sign-on (SSO) This Service is a single configuration between Customer and Skill Dynamics that allows Users to provision a login to the Skill Dynamics Learning Platform without the need for Skill Dynamics-specific credentials. Skill Dynamics supports SSO using SAML 2.0 as the standard. Customers are responsible for the IdP side of such connection. SAML spec is followed universally, both SP and IdP initiated linking and deep linking are supported. As well as standard attributes (email addresses), the Customer may define attributes delivered across the SSO configuration. These are the Customer's responsibility; and as such, Skill Dynamics disclaims any and all liability associated with alignment to any such attributes.

This SSO Service includes integration for one (1) IdP and includes any certification updates to facilitate Customer's use of Skill Dynamics during the Initial Term. Customer must engage with Skill Dynamics to commence this Service within sixty (60) days of purchase and such work shall be completed within ninety (90) days of the agreed upon project kick-off date depending on the plan agreed at the commencement of the project. Skill Dynamics will offer Customer support for Customer's configured SSO integration for the Initial Term of the underlying subscription Plan. In the event Customer desires; a) changes to the configured SSO integration after the Initial Term, or b) configuration(s) of additional integrations, Customer must purchase additional integration and Consultancy Services.

Custom competence model Skill Dynamics can map the customer's specific organisation competency framework including training content into our learning plans, or alternatively, using our own learning content we can complement the customer specific content, to create a tailored approach to learning plans. Note: The service will only apply where the agreement is for the 'Elite' service, the custom competence add-on has been purchased. There will be a dependency on the Skill Gap assessment and if there is to be any change here there will be additional consultancy charges per SME number of days required.

See Professional Services Fees under Additional Services. Customer roles mapping Skill Dynamics can ensure we reflect the customer's role names to the standard role names in our system. We can also update target levels 1 – 4 for the required competencies. There is an additional charge for this offering and only when the 'Advanced' Service is selected.

Custom quiz configuration Skill Dynamics believes it has the richest, diverse catalog of quiz content and would always advise customers to use the stock content based on years of advice and experience from thought leadership SME leaders within the industry, that define the content of our product suite. Occasionally, Skill Dynamics will receive requests and is able to configure customer specific customised quiz content. Building customer's custom quiz content requires significant effort as we would reconfigure the quiz with new questions and answers related to the customer's competency framework. We will customise and benchmark the levels and thresholds to establish the overall results given in the Skill Gap assessment.

This service is for the 'Elite' package only and subject to time & materials pricing on application (POA). Reconfigure learning plans Skill Dynamics can update and reconfigure the learner plans for learners where requested. We can also provide light learning plans to external providers to link their specified functions to the functions of our customers in house professionals. The effort to enhance the learner plans will vary based on changes in the learning plan to the roles, levels and the level of service required. Effort subject to scoping and day rates.

Custom reporting extracts Skill Dynamics provides extensive reporting capability from our Report Management Centre (RMC) to show Manager reports, learner progression and Skills Gap data. However, occasionally a customer may request additional reporting of data in the form of graphs, PDF extracts, and sort and build formats. Effort subject to scoping and day rates.

Skills Gap standalone configuration Skill Dynamics is well known for its standard Skill Gap assessment tool which aids learners and managers to see where the learner is progressing against distinct levels. We can when requested build a standalone Skills Gap Assessment. This service would be specifically beneficial where a customer wants to ascertain capability of new recruits to an organisation, or to select key learners within an existing organisational unit, or to sense check capability of an existing business unit.

There will be competency framework levels to be understood through consultation with the customer.

This service is subject to time & materials pricing on application (POA). Client course additions If the customer has additional course content, documentation, or files that they would wish to reside on our LMS platform that can be arranged. There would need to be an analysis carried out of the compatibility of courses, files and this would be charged out at an additional rate for 'Elite' customers.

3. Miscellaneous

  1. Customer shall have a revocable, non-transferable, term license to use the copy of the materials provided by Skill Dynamics in connection with the Services for its internal use only. All other rights in the materials remain in and/or are assigned to Skill Dynamics. The Parties will cooperate with each other and execute such documents as may be appropriate to achieve the objectives of this Section.
  2. Customer acknowledges that Skill Dynamics may develop for itself, or for others, content like the materials and processes developed in performing the Services, and nothing contained herein precludes Skill Dynamics from developing or disclosing such materials and information, provided that the same does not contain or reflect Customer Confidential Information.
  3. Services provided by Skill Dynamics hereunder are for use by Customer only and for the purposes described herein. Skill Dynamics is not liable for any loss or injury of Customer, or its Users arising out of or caused, in whole or in part, by Customers or its Users' use or application of the knowledge gained from the Services. In no event will Customer allow third parties to access or use the materials provided by Skill Dynamics in connection with the Services provided. Pricing will be outlined in the relevant SOW or Framework Agreement. Services are non-cancellable and associated fees paid or payable are non-refundable and cannot be used as a credit towards any other amounts due to Skill Dynamics.
  4. In the event of a conflict between these Professional Services Terms and any Sales Order or SOW executed by the Customer, the provisions of the Sales Order or SOW shall take precedence over provisions of these Professional Services Terms.
